By uploading a Photo to Instagram and/or Facebook and using the hashtag #Havnlly and/or tagging @Havnlly (the “Credentials”), you hereby grant Havnlly, its affiliates, subsidiaries, wholesale partners, franchisees, advertising and promotion agencies, and its agents and representatives (collectively, “Havnlly”) an irrevocable, unrestricted, royalty-free, worldwide right to use, incorporate, publish, display, broadcast, edit, modify, create derivative works from and distribute any materials, content, illustrations, photographs, videos, comments or information relating to the Photo (the “Materials”), in whole or in part, including with your name, voice, image, likeness and/or any other identifiable representation of you (collectively, “Your Likeness”). The material may appear in any form, style, color or medium, whether now known or hereafter devised, throughout the world, including but not limited to photographs, videotapes, films, sound recordings, software, drawings, prints, broadcasts, in-store displays, the Internet, emails, catalogs, Havnlly websites, Havnlly social network pages and all forms of print, broadcast, television, home video and other interactive "electronic" media, in perpetuity, without any compensation, consideration or consent.

By identifying our credentials, you warrant and represent that: (a) you are the author of the material and own all rights to use it, or you have the right to grant us the rights set forth above; (b) you have paid or will pay in full any fees or other amounts associated with the use of the material; (c) the material does not infringe upon the copyright, trademark, privacy, publicity or other intellectual property or other rights of any person or entity; (d) the publication of the material through any media will not infringe upon the rights of any third party; and (e) you have obtained permission from all persons whose names, voices, images, likenesses and/or any other identifiable representations are included in the material. You will hold Havnlly harmless from any claims to the contrary.

By confirming our credentials, you acknowledge and agree to the foregoing and in consideration of Havnlly providing you with the opportunity to display your Materials in our promotional materials. You confirm that you have fully read and understood this document and that any questions you may have regarding the validity of this document or the meaning of its terms have been answered to our satisfaction. Product Availability and Amendments

Havnlly does not guarantee that the products and services advertised on our Website will be available at the time of order or thereafter. If Havnlly is unable to ship any product you have ordered because it is out of stock or no longer available, we will notify you by email or telephone. Havnlly shall not be liable for any inconvenience and damage caused by the unavailability of any and all products and services.

Orders and Pricing

The price of each item you order is the price displayed on our website. The price on the website does not include shipping costs, any applicable import duties or sales taxes.

The products displayed on this website are not for resale. We reserve the right to refuse sales to any individual who we believe is purchasing products for the purpose of resale. Unless otherwise stated on this website, all prices are shown in Canadian dollars [and will be billed in Canadian dollars].

If an error occurs during the online purchase process, you will be notified and adjustments will be made where applicable. For example, the item is sold out, tax errors, etc. If an item is mispriced, Havnlly reserves the right to refuse or cancel the order and refund the money at its sole discretion.

Shipping

Havnlly reserves the right to modify shipping costs at any time without prior notice.

Once your order is accepted, we will ship as quickly as possible. Processing and delivery times may vary depending on the delivery address and product inventory availability, and may also be affected by other factors beyond Havnlly's control. Delivery dates are estimates and are not guaranteed. We are not responsible for any delays caused by force majeure or any circumstances beyond our reasonable control, including weather, strikes, war or terrorist attacks, errors or omissions of third parties, your errors or omissions, or reduced availability of shipping services.

Delivery is Monday to Friday (excluding holidays).

Once the carrier accepts the product, Havnlly will transfer all property rights to the buyer.

Product delivery is subject to the carrier's regulations and product signing rules. If you are not present at the time of delivery, you will be responsible for tracking and picking up the product in accordance with the carrier's rules and procedures.

Returns and Exchanges

Havnlly offers refunds for eligible items purchased online within 30 days of purchase for regular priced items and 15 days of purchase for sale items. Only items that are unworn, unwashed, in original condition and packaging, with price tags intact, are eligible for a return for a refund. Refunds will be made to the payment method used for your original purchase and are subject to our Returns Policy.

For items purchased during a promotional period or promotional event, please note that a return may result in the promotional terms no longer being valid. In this case, the value of the returned item and any items included in the promotion will be recalculated to comply with the new terms of sale.

For replacement items, please return the original purchase for a refund and then place an order for a new item on our website.

Havnlly reserves the right to refuse any exchange or refund request for items not listed in the above terms (including items that have been worn, abused, altered, soiled, washed or damaged in any way) in accordance with our Returns Policy. Items received in such condition will be returned to the customer. We do not provide any refunds and will charge the buyer for return shipping, who will waive all claims.

Shipping and handling charges are not refundable or deductible unless the original product is defective or the exchange or refund is due to Havnlly's error. This website and all materials, including but not limited to text, images, illustrations, software, audio clips, video clips and all other forms of intellectual property, are owned or licensed by Havnlly and are protected in Canada and other jurisdictions around the world under the Canadian Copyright Act and other Canadian and international copyright, trademark, industrial design, patent and/or other intellectual property and unfair competition rights and laws, and protected by applicable international treaties. All trademarks, trade names, logos, domain names and service marks (collectively, the "Marks") displayed on our Site are registered or unregistered Marks of Havnlly or its licensors, are the property of their respective owners, and may not be used without the written permission of the owner of such Marks.
